But my $BLDE thesis was based both on the underappreciated medical business, and the call option on eVTOL upside. Today they sold the call option at a discount. (Since the original thread, $BLDE is up 60% and $BLDEW warrants have gained up to 440%, now up 141%)

The new MedCo, "Strata" still seems underpriced relative to its cash position, and should have upside both in earnings growth and market multiple / appreciation. The perfusion device market is continuing to widen, and I think $BLDE will be able to grow share.

So why did $BLDE do it? I assumed that there was some true platform and technology value that benefitted both Passenger and Medical segments, but this deal suggests real synergies across the businesses were limited. Otherwise the breakup makes zero sense at all.

The press release provides limited details, but I hope that a good amount of SG&A leaves with the transaction. $BLDE will still maintain some meaningful corporate overhead, public company costs, etc.

Further - to the extent $BLDE receives stock consideration, it takes big market risk. Joby's stock has 4x-ed in the past 4 months, and if the valuation resets, the actual value Blades receives could easily be <$50M

Given the strategic benefit to $JOBY, the price is a huge disappointment for $BLDE shareholders. Relative to Joby's *ability to pay*, BLDE should have gotten MUCH more. Especially given Joby's right to pay in stock. $JOBY's $2.4bn gain today was 25x the purchase price.

The Blade Breakup: $BLDE is selling its passenger business to $JOBY for $90M + $35M in earnouts... What does it mean for the stock? (First, for the quick $BLDE pitch, see my thread and longer writeup from last year) https://t.co/Kit1mSv69N
